GENERAL TERMS AND CONDITIONS

General Terms:

  1. These terms and conditions apply to all orders placed with Elm and Karen Helle Ceramics Ltd. for handmade stoneware tableware products.

  2. By placing an order with us, the client agrees to be bound by these terms and conditions.

 

Shipping and Import Duties:

  1. Elm and Karen Helle Ceramics Ltd. shall not be liable for any shipping costs or import duties incurred during the delivery of the ordered items.

  2. The client is solely responsible for paying any applicable import duties and taxes imposed by their country's customs authorities.

  3. Any delays caused by unpaid import duties or customs issues are not the responsibility of Elm and Karen Helle Ceramics Ltd.

 

Deposit and Order Validity:

  1. A 40% deposit of the total order value is required to confirm and validate the order.

  2. The order will be considered valid only after the receipt of the required deposit.

  3. Failure to provide the deposit within the specified time frame may result in the cancellation of the order.

 

Quote Validity:

  1. Any quotation provided by Elm and Karen Helle Ceramics Ltd. is valid for a period of 90 days from the date of issue.

  2. After the validity period has expired, the quoted prices and terms are subject to review and may be revised.

 

Exclusivity:

  1. If the client requires exclusivity of a specific design, this must be requested at the time of placing the order.

  2. Exclusivity will be granted on a per-country basis, applicable only in the country where the items will be used.

  3. The exclusivity period will be limited to three months from the date of delivery of the order.

  4. We reserve the right to deny exclusivity requests. In such instances this will be communicated to the client in writing

 

 Upfront Exclusivity Fee:

  1. An upfront non-refundable exclusivity fee will be charged if the client requests exclusivity for a specific design.

  2. The amount of the exclusivity fee will be calculated and communicated in writing before the production of the order begins.

  3. The client must make the payment of the exclusivity fee within the agreed-upon timeframe to secure the exclusivity rights.

 

Extended Exclusivity:

  1. If the client wishes to extend the exclusivity period beyond three months, they must inform Elm and Karen Helle Ceramics Ltd. in writing.

  2. Elm and Karen Helle Ceramics Ltd. reserves the right to accept or decline the request for extended exclusivity at its discretion.

 

No Liability of Safety Issues:

  1. While Elm and Karen Helle Ceramics Ltd. take utmost care in crafting and inspecting their handmade stoneware tableware products, the client acknowledges that the use of stoneware tableware involves inherent risks.

  2. The client agrees that Elm and Karen Helle Ceramics Ltd. shall not be liable for any injuries, damages, or losses arising from the use of their handmade stoneware tableware products.

  3. The client assumes all responsibility for ensuring the safe use, handling, and storage of the purchased stoneware tableware products, and shall use them in accordance with the manufacturer's guidelines and common safety practices.

  4. Elm and Karen Helle Ceramics Ltd. shall not be liable for any damages or losses caused by improper use, accidental breakage, or negligence in handling the stoneware tableware.

  5. The client acknowledges that stoneware tableware may be fragile and susceptible to breakage if mishandled or exposed to extreme conditions. Any breakage or damage caused during use or cleaning shall not be the responsibility of Elm and Karen Helle Ceramics Ltd.

  6. By purchasing and using the handmade stoneware tableware from Elm and Karen Helle Ceramics Ltd., the client agrees to release and hold Elm and Karen Helle Ceramics Ltd. harmless from any liability, claims, or expenses related to safety issues or damages arising from the use or handling of the stoneware tableware products. The client agrees to use the stoneware tableware responsibly and in a manner consistent with best safety practices.

 

Glazes Food Safety:

  1. Elm and Karen Helle Ceramics Ltd. take great care in selecting and using glazes for their handmade stoneware tableware to ensure they are safe for intended use.

  2. The client acknowledges that the food safety of glazes used on the stoneware tableware may vary depending on factors such as the type of food, acidity, and cooking/heating methods.

  3. While Elm and Karen Helle Ceramics Ltd. make reasonable efforts to use food-safe glazes, they do not make any explicit or implicit warranties or representations regarding the suitability of the glazes for specific types of food or cooking methods.

  4. The client agrees to use the stoneware tableware in accordance with standard food safety practices and guidelines issued by relevant health authorities.

  5. Elm and Karen Helle Ceramics Ltd. shall not be liable for any health issues, allergic reactions, or foodborne illnesses that may arise from the use of their stoneware tableware, including reactions caused by glazes or their interaction with food substances.

  6. The client acknowledges that glazes used on stoneware tableware are subject to wear and tear over time and may develop cracks, chips, or discoloration. Any such changes in the glaze shall not be deemed as defects and shall not hold Elm and Karen Helle Ceramics Ltd. liable.

 

Intellectual Property:

  1. All intellectual property rights, including but not limited to copyrights, trademarks, and trade secrets, associated with the handmade stoneware tableware (hereinafter referred to as "Products") created by Elm and Karen Helle Ceramics Ltd and its artisans, shall remain the exclusive property of Elm and Karen Helle Ceramics Ltd.

  2. The design, patterns, shapes, and unique characteristics of the Products produced by Elm and Karen Helle Ceramics Ltd are considered proprietary and confidential information. Customers, suppliers, or any third parties are strictly prohibited from reproducing, modifying, distributing, or using any aspect of the Products without the express written consent of Elm and Karen Helle Ceramics Ltd.

  3. Limited License: By purchasing the Products, customers are granted a non-exclusive, non-transferable, and limited license to use the Products for personal and/or commercial purposes only. This license does not grant any rights for resale, reproduction, or any other commercial use of the Products without the prior written consent of Elm and Karen Helle Ceramics Ltd.

  4. Any unauthorised use, reproduction, distribution, or modification of the Products, including but not limited to imitation of designs, patterns, or shapes, shall be considered a violation of Elm and Karen Helle Ceramics Ltd 's intellectual property rights. In such cases, Elm and Karen Helle Ceramics Ltd reserves the right to take legal action to protect its intellectual property.

  5. Custom Designs: In the event that Elm and Karen Helle Ceramics Ltd creates custom designs or bespoke handmade stoneware tableware for customers, all intellectual property rights associated with these custom designs shall belong to Elm and Karen Helle Ceramics Ltd unless otherwise agreed upon in writing.

  6. Customers, suppliers, or any third parties who have access to Elm and Karen Helle Ceramics Ltd 's designs, production methods, or other confidential information related to the handmade stoneware tableware must treat such information as strictly confidential and refrain from disclosing or using it for any purpose other than the agreed-upon transactions.

  7. Indemnification: Customers shall indemnify and hold harmless Elm and Karen Helle Ceramics Ltd from any claims, losses, or damages resulting from any unauthorised use or infringement of Elm and Karen Helle Ceramics Ltd 's intellectual property by the customer or any third party.

  8. Elm and Karen Helle Ceramics Ltd reserves the right to modify or update the terms and conditions of this Intellectual Property Clause at its discretion. Such changes will be effective upon posting on Elm and Karen Helle Ceramics Ltd 's website or providing written notice to customers.

  9. By purchasing and using the handmade stoneware tableware, customers acknowledge and agree to abide by the terms and conditions outlined in this Intellectual Property Clause.

 

Credits for Social Media and Marketing Purposes:

  1. Elm and Karen Helle Ceramics Ltd. values the support and promotion of their handmade stoneware tableware products by clients on social media and other marketing platforms.

  2. The client is encouraged to share images or content featuring the purchased stoneware tableware on social media and marketing platforms, subject to the following conditions.

  3. When posting or using images or content that prominently feature Elm and Karen Helle Ceramics Ltd.'s stoneware tableware, the client agrees to provide proper credit by mentioning or tagging Elm and Karen Helle Ceramics Ltd.'s official social media accounts or website, where applicable.

  4. The client grants Elm and Karen Helle Ceramics Ltd. the permission to repost or share the content featuring their stoneware tableware on Elm and Karen Helle Ceramics Ltd.'s own social media accounts, website, or marketing materials, giving due credit to the client where possible.

  5. Elm and Karen Helle Ceramics Ltd. shall not be held responsible for any unauthorized use or misuse of images or content featuring the stoneware tableware posted by clients on social media or other platforms.

  6. The client agrees that they will not use Elm and Karen Helle Ceramics Ltd.'s intellectual property, including logos and trademarks, without prior written consent for any social media or marketing purposes

 

Governing Law:

  1. These terms and conditions shall be governed by and construed in accordance with the laws of England.

  2. Any disputes arising from these terms and conditions shall be subject to the exclusive jurisdiction of the courts of England.

 

By placing an order with Elm and Karen Helle Ceramics Ltd., the client acknowledges that they have read, understood, and agreed to abide by these terms and conditions.

PRODUCT DESCRIPTIONS, SPECIFICATIONS & SUITABILITY

All images, descriptions and measurements contained on the website is published for general guidance only and no warranty or guarantee of any sort is to be implied by such publication nor is such information to form part of any contract.

Eλm ceramics reserve the right to change specifications or prices or delete any item from our website or other sales literature without prior notice.

 

AVAILABILITY & DELIVERY

Any time or date for delivery is given in good faith but it is an estimate only, are not guaranteed and we shall not be liable for the consequences of any delay, however caused. Neither the time of despatch nor of delivery shall be of the essence. We do our best to ensure availability of all products and endeavour to despatch all parts within the quoted time.

 

EXPORT ORDERS

All orders exported outside the UK will incur local taxes and possibly tariffs and import charges. Such charges are outside of our control and the buyer will be responsible to cover. Any import taxes, tariffs, expenses or charges are the responsibility of the consignee. All the products are made in the UK and should not be subject to import taxes for EU exports.

Any consignment or order returned or destroyed due to non-payment of taxes and duties (or any import expenses) by the customer or consignee WILL NOT BE ELIGIBLE FOR REFUND.

 

CARD PAYMENTS, SECUTIRY & PRIVACY

We accept most major credit cards and for off-line purchases will accept Bank transfers. Exchange rates around the world do vary all the time so payments made must always be in UK pounds Sterling.

We can assure you that we do not pass on or use your personal information with any third parties, companies and marketing organisations. All the details required are needed for no other reason than to fully process your order.

For deliveries and international orders, your telephone number and email may be forwarded on to our couriers, to ensure receipt of your goods.
